Agreement to Terms
By accessing or using the website at shipwrightlabs.com (the "Site") or engaging the services of Shipwright Labs LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Site or our services.
Services
Shipwright Labs provides engineering consulting, custom software development, AI integration, and related technology services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate statement of work (SOW) or service agreement agreed upon by both parties before work begins.
Engagement Terms
- Proposals & Agreements: All services are subject to a signed service agreement or SOW. Pricing listed on our Site represents starting rates and may vary based on project scope and complexity.
- Payment: Payment terms are specified in individual service agreements. Late payments may be subject to interest or suspension of services.
- Cancellation: Either party may terminate an engagement as specified in the applicable service agreement. Fees for work completed prior to cancellation remain due.
Intellectual Property
Client Work
Unless otherwise agreed in writing, upon full payment, clients receive ownership of all custom code, designs, and deliverables created specifically for their engagement. We retain the right to use general knowledge, techniques, and non-proprietary tools developed during the engagement.
Our Property
The Site, its content, branding, and any proprietary tools, frameworks, or methodologies remain the property of Shipwright Labs LLC. You may not reproduce, distribute, or create derivative works from our proprietary materials without written permission.
Website Use

- You agree not to misuse the Site, attempt to gain unauthorized access, or interfere with its operation.

Confidentiality

To the maximum extent permitted by law, Shipwright Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our Site or services. Our total liability for any claim shall not exceed the fees paid by you for the specific services giving rise to the claim.
Warranty Disclaimer
Our Site and services are provided "as is" without warranties of any kind, either express or implied. While we strive to deliver high-quality work, we do not guarantee specific business outcomes from our consulting or development services.
Indemnification
